Hofseth Biocare ASA : AGM - approval of private placement and a raise of a convertible bond loan

The AGM in Hofseth BioCare were held in Moloveien, Ålesund on Tuesday 26 May 2015.

All propsals were approved in accordance with the attached minutes from the AGM.

A statement from the Company's auditor regarding conversion of debt is attached (in Norwegian only).

A prospectus in regards to the listing of the shares issued under the private placement will be published as soon as it is approved by the Norwegian FSA. Reference is made to the subscription form for the private placement on the company website www.hofsethbiocare.no/investors.
