Change of control and refinancing of Générale de Santé

Ramsay Health Care and Crédit Agricole Assurances, a subsidiary of Crédit Agricole, acquired a majority stake in Générale de Santé. Following the transaction implemented yesterday at a price of €16 per share, Ramsay and Crédit Agricole Assurances hold in total 83.4% of the share capital and 75,7% of the voting rights of Générale de Santé.

To reflect the new shareholding, the Board of Directors is now composed of:

• Mr. Christopher Rex (Chairman)
• Mr. Jean-Jacques Duchamp (Vice-Chairman)
• Mr. Peter Evans
• Mr. Craig McNally
• Mr. Bruce Soden

The following members remain on the Board as independent directors:

• Ms. Anne-Marie Couderc
• Ms. Valérie Hortefeux

Mr. Pascal Roché, Chief Executive Officer, remains in his post at the head of the group.

Générale de Santé has also signed a new syndicated loan agreement comprising various facilities for a maximum total of €1.075 billion due in 2020. €500 million was immediately drawn down to refinance its bank debt, which had fallen due as a result of the change of control.

The new syndicated loan agreement was entered into with Barclays Bank PLC, BNP Paribas S.A., Crédit Agricole Corporate & Investment Bank, Deutsche Bank AG, London Branch and Natixis as Mandated Lead Arrangers and Initial Lenders. BNP Paribas S.A. is also acting as Facility Agent and Security Agent.
